1. Acceptance of These Terms

These Terms of Service are an agreement between you and Folup LLC, a limited liability company formed in Florida, United States (“folup,” “we,” “us”). By creating an account or using folup (the “Service”), you agree to them. If you do not agree, do not use the Service.

If you are using folup on behalf of an employer or client, you are agreeing on their behalf and you confirm you have the authority to do so. In that case “you” means both you and that organisation.

Our Privacy Policy explains how we handle personal data and forms part of this agreement.

2. What folup Does

folup is a follow-up and outreach tool for recruiters and talent sourcers. It helps you find a candidate’s business e-mail address, draft a message, send it from your own connected mailbox, and know when someone replies.

Candidates reach folup in one of three ways: a CSV you exported yourself, manual entry, or a supported applicant-tracking system. We describe the Service as it exists today; features we have announced but not yet released are not part of what you are buying, and nothing here obliges us to ship them.

3. Eligibility & Your Account

folup is a business tool. You must be at least 18 and using it for professional recruiting purposes. You agree to give accurate account information and keep it current.

Keep your credentials secure. You are responsible for everything that happens under your account, including anything sent from a mailbox you connected. Tell us promptly at hello@folup.ai if you think your account has been compromised.

4. Plans, Fair Use & Free Trials

Unlimited business e-mail lookups. Every paid plan includes unlimited verified business e-mail lookups, subject to the fair-use terms below. There are no credits to buy and nothing expires at the end of the month.

The fair-use ceiling. So that “unlimited” means something you can rely on, we publish the ceiling rather than leaving it to our discretion. It is currently 500 business e-mail lookups per month on Recruiter, 1,250 on Sourcer, and 6,000 on Team. On Team the ceiling is a single pool shared by every seat on the account; it does not multiply with the number of seats. A “lookup” is one request for folup to find or verify the business e-mail address of one person. Ceilings apply to each monthly usage period and reset when the next one begins, whether you pay monthly, quarterly, or annually. They are several times what a full-time sourcing desk uses in a month, and they exist to prevent the bulk scraping described below, not to ration ordinary recruiting work. The ceilings and prices in force at any time are the ones shown on our pricing page.

What happens at the ceiling. We will e-mail you before you reach it. If you do reach it, lookups pause until your next monthly usage period begins. We will not charge you an overage fee, and no lookup will ever cost you money you did not agree to in advance. The rest of the Service keeps working — you can still draft, send, and track outreach for candidates already in your account. You can upgrade at any time to lift the ceiling.

Changes to the ceilings. We may raise a ceiling at any time. If we lower the ceiling on a plan you are already paying for, we will e-mail you at least 30 days before the change applies to your next renewal, on the same terms as a price change under Section 5.

What “bulk scraping” means. Bulk scraping is using folup to harvest contact data rather than to recruit. It includes any of the following, whether or not your account is under its ceiling:

  • Automated use — running lookups, or extracting data from the Service, by script, bot, crawler, browser automation, macro, or any other automated means, other than through features and integrations we provide for that purpose, such as importing from a supported applicant-tracking system;
  • Indiscriminate lookups — looking up people who are not candidates for a role you are recruiting for or reasonably expect to recruit for, for example by working systematically through a company’s staff, an e-mail domain, a directory, or a purchased or scraped list to collect addresses;
  • Building or supplying a database — copying, exporting, or compiling addresses folup finds in order to build, enrich, or maintain a contact database, list, or data product, or selling, licensing, sharing, or otherwise supplying them to anyone else, including for sales or marketing prospecting. Section 8 sets out the limited licence you do have to those addresses;
  • Lookups as a service — running lookups so that someone who is not a user on your account receives the addresses, rather than you using them to recruit. Recruiting on behalf of an employer or agency client, as Section 1 allows, is not this;
  • Training or competing — using addresses or other output from folup to train a machine-learning model, or to build or benchmark a product or dataset that competes with folup;
  • Getting around the ceiling — opening multiple accounts or trials, sharing log-ins, or splitting usage across accounts in order to exceed a ceiling, or attempting to evade rate limits or other technical protections.

What is not bulk scraping. Sourcing candidates for roles you are recruiting for now, or reasonably expect to recruit for, is ordinary use at any volume up to your ceiling. That includes building a pipeline of people you intend to contact, keeping them in folup or your own applicant-tracking system, and recruiting on behalf of an employer or agency client. Reaching your ceiling is never, by itself, a breach of these Terms — and staying under it does not make bulk scraping permitted.

How we enforce it. We may review the rate, timing, and pattern of lookups, including by automated means, to detect bulk scraping, as Section 6 of the Privacy Policy allows. If we reasonably believe an account is being used for it, we may slow or pause lookups on that account while we look into it, and ask you to explain the activity. Where it is practicable and lawful, we will tell you what we have seen and give you a chance to respond before going further, as Section 14 provides. If bulk scraping is confirmed, or is serious or repeated, we may suspend or terminate your account, end the Section 8 licence to any addresses obtained through it, and require you to delete those addresses. We will never add a fee, fine, or overage to your bill as a result. Nothing in this paragraph limits any other right or remedy we have under these Terms or the law.

AI drafts and fit checks. These follow the same principle: unlimited in ordinary use, with automated protection against volumes that could only come from scripted abuse.

Phone and personal e-mail lookups. These are not included in the unlimited allowance. They cost us substantially more than a business e-mail address, and are sold separately so that only the customers who use them pay for them. Where we offer them, the price and any allowance will be shown before you buy, and the no-surprise-charges rule above applies to them too.

Free trial. The free trial runs for 14 days and includes 50 verified e-mail lookups and 1 active sequence. No credit card is required to start it, and it does not convert into a paid plan automatically. If you do nothing at the end of a trial, the trial simply ends.

5. Billing, Renewal & Cancellation

Payments. Paid plans are billed in advance on a monthly, quarterly, or annual cycle, whichever you chose. Payments are processed by Stripe; your card details go to Stripe directly and we never see or store them. You authorise us to charge your chosen payment method for each renewal until you cancel.

Renewal. Plans renew automatically at the end of each cycle at the then-current price for your plan.

Price changes. We may change our prices. If a change affects a plan you are already on, we will e-mail you at least 30 days before it applies to your next renewal, so you can cancel first if you would rather not continue.

Failed payments. If a payment fails we may retry it and may suspend access until it succeeds. We will e-mail you before suspending.

Cancelling. You can cancel at any time from your account settings. There are no contracts and no cancellation fee. Your access continues to the end of the period you have already paid for. Fees already paid are not refundable except where the law requires it.

Your data afterwards. After cancellation your data stays available for export for 30 days, then it is permanently deleted. Section 9 of the Privacy Policy sets this out in full.

6. Acceptable Use

What we do. folup does not automate LinkedIn. It sends no connection requests and no InMail, it does not act on your LinkedIn account, and it does not scrape LinkedIn in bulk. Candidates arrive through the routes described in Section 2.

What we ask of you. You agree not to:

  • use folup for any unlawful purpose, or to harass, deceive, or discriminate against anyone;
  • send unsolicited bulk messages unrelated to genuine recruiting outreach;
  • use folup to work around the terms of LinkedIn or any other service — including by importing data you obtained in a way those terms do not allow;
  • bulk-scrape the Service, as defined in Section 4;
  • share your account, or resell or sublicense the Service, without our written permission;
  • reverse-engineer the Service, or attempt to extract its underlying models or source code;
  • probe, overload, or interfere with the Service or the infrastructure it runs on.

7. Sending From Your Own Mailbox

folup sends through the mailbox you connect. Your address is in the From line, the message appears in your Sent folder, and replies come back to you. There is no shared sending relay and we do not send on behalf of anyone else from your address.

This means you are the sender of record for every message. It also means Google’s and Microsoft’s own limits apply: they cap how much mail an account may send in a day, and folup cannot exceed those caps or raise them for you. Your provider may also throttle or block sending at its own discretion.

We do not guarantee deliverability, inbox placement, open rates, or reply rates. Those depend on your domain, your sending history, your message content, and decisions made by mail providers we do not control.

8. Your Data & the Candidates You Contact

You keep ownership of the candidate data and content you bring into or create in folup. You grant us only the licence needed to operate the Service for you.

For candidate data you import, you are the controller and we act as your processor, as described in Section 2 of the Privacy Policy, on the terms of our Data Processing Agreement. That means you are responsible for having a lawful basis to hold and use that data, and for complying with the law where you recruit — including data-protection law, anti-spam law such as CAN-SPAM and Canada’s CASL, the right to object to direct marketing under GDPR, and employment and anti-discrimination law.

Addresses folup finds for you. Where folup locates or verifies a business e-mail address, we are the controller of that record, and we grant you a limited, non-transferable licence to use it to contact that person about a role in the course of your profession. That licence covers nothing else: you may not add these addresses to a marketing list, resell them, or contribute them to another database. We do not warrant that any address is correct or current — see Section 12 — and you remain responsible for having a lawful basis to make contact, on the same terms as the paragraph above.

We help where we can: folup includes an unsubscribe link in outreach and removes anyone who uses it from your active sequences automatically. But the message goes out in your name, from your address, and the compliance obligation is yours, not ours.

You also agree not to import special-category data (such as health, religion, or ethnicity) into folup. It is not built to handle it.

9. AI-Generated Drafts

folup uses an AI model to draft outreach. Drafts are suggestions, not verified statements of fact. They can be wrong — about a candidate’s role, employer, or background — and they can read as more certain than the underlying information warrants.

You are responsible for reviewing every message before it is sent, and for its content once it is. Nothing in a generated draft is advice from us, and we do not warrant that any draft is accurate, appropriate, or fit for the purpose you have in mind.

To produce a draft we send the necessary context to a third-party model provider, named in Section 7 of the Privacy Policy, which is contractually barred from training on it. We claim no ownership of the drafts folup produces for you.

10. Intellectual Property

folup, its software, and its underlying technology are owned by Folup LLC. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own recruiting during your subscription. We reserve every right not expressly granted here.

If you send us feedback or suggestions, we may use them to improve the Service without owing you anything for them.

11. Third-Party Services & Integrations

folup connects to services you choose to link: Gmail or Outlook for sending, and supported applicant-tracking systems for importing candidates. Connecting one means granting folup permission through that provider’s own consent screen, and you can withdraw it at any time — Sections 4 and 5 of the Privacy Policy explain how.

Your use of those services stays governed by their terms, not ours. We are not responsible for their availability, their behaviour, or changes they make, and any of them may change or withdraw access in ways that affect how folup works for you.

12. Disclaimers & Limitation of Liability

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that any e-mail address it finds will be correct or current, or that your outreach will produce any particular result.

To the maximum extent the law permits, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or lost business opportunity, even if we were told such damages were possible.

Our total liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) US$100 or (b) the total fees you paid us in the twelve months before the event giving rise to the claim.

Nothing here limits liability that cannot be limited by law, including liability for our own fraud or wilful misconduct. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

13. Indemnification

You agree to defend and indemnify us against claims, damages, and reasonable costs arising from your use of the Service, your breach of these Terms, the content of outreach you send, or your handling of candidate data — including any claim that you lacked a lawful basis to contact someone. We will tell you promptly of any such claim and let you control the defence, provided you do not settle in a way that admits fault on our part without our agreement.

14. Suspension & Termination

You may cancel at any time as described in Section 5.

We may suspend or terminate your account if you materially breach these Terms, if you breach Section 6, if your payment fails and stays unpaid, or if we are required to by law. Where it is practicable and lawful to do so, we will give you notice and a chance to put things right first. Conduct that puts other people or the Service at risk may be suspended immediately.

We may also discontinue the Service as a whole. If we do that while you are on a paid plan, we will refund the unused portion of what you have already paid.

On termination your right to use the Service ends. Sections 8, 10, 12, 13, 15, and 17 survive.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules.

You and we agree that any dispute will be brought exclusively in the state or federal courts located in the State of Florida, and we each consent to the personal jurisdiction of those courts. There is no arbitration clause and no class-action waiver in this agreement — you keep your right to have a dispute heard by a court.

Before filing anything, please e-mail hello@folup.ai. Most problems are faster to fix that way.

16. Changes to These Terms

We may update these Terms. We will post the new version here and change the effective date above. If a change materially affects your rights or obligations, we will e-mail the address on your account at least 30 days before it takes effect.

Continuing to use folup after a change takes effect means you accept the updated Terms. If you do not accept them, cancel before the effective date and Section 5 governs what happens to your data.

17. General Provisions

  • Severability. If any part of these Terms is held unenforceable, that part is limited or removed to the smallest extent necessary and everything else stays in force.
  • Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about the Service, and they replace anything said or written beforehand.
  • Assignment. You may not transfer this agreement without our written consent. We may transfer it to a successor in a merger, acquisition, or sale of assets; Section 8 of the Privacy Policy governs what happens to your data if that occurs.
  • No waiver. If we do not enforce something straight away, we have not given it up.
  • Force majeure. Neither of us is liable for failing to perform because of events outside our reasonable control — an outage at a hosting or mail provider, natural disaster, war, or a change in the law. This does not excuse fees already due.
  • Notices. We give notice by e-mail to the address on your account, effective when sent. You give notice to us at hello@folup.ai. Keep your account e-mail current — it is how we reach you about changes, suspensions, and security.
  • Relationship. Nothing here makes either of us the other’s agent, partner, or employee.
